FAQs
Do you file annual accounts?
We’re only able to file dormant company accounts. However we’ll remind you when your annual accounts need to be filed and your accountants will be able to file your annual accounts in the format required by Companies House and HMRC.
What does ‘share transactions’ include?
A share transaction includes the issue or transfer of shares.
In the case of a share issue, we’ll prepare board minutes approving the issue, a shareholder resolution giving the directors authority to issue the shares and disapplying pre-emption rights in respect of such issue, file Form SH01 to notify Companies House of the issue, update the company registers and prepare any share certificates. We won’t prepare any subscription or investment documents.
In the case of a share transfer, we’ll prepare board minutes approving the transfer, a stock transfer form in respect of the transfer, update the company registers and issue a new certificate in respect of the transferred shares. We won’t prepare any sale or transfer documents.
A single share transaction may involve the issue or transfer of shares to or between multiple shareholders, provided they all take place on the same day.
What if we need to exceed the limits of our plan?
If you need to exceed the limits of your plan for any reason (e.g. you need us to help you with more share transactions or you sign up to the Gold plan and the number of shareholders increases during the year), you may upgrade to the next pricing tier, and we’ll invoice you for the difference in price between the plans (at the time of upgrade) for the remainder of the year.
Whether you renew the year after is entirely up to you – your maximum commitment at any time is for one year.
Who will be named as company secretary at Companies House?
FlamingoSecCo Limited will be appointed as a corporate secretary of your company at Companies House for the term of your subscription.
